Artist Agreement

1. Eligibility

To upload music to Gospel Hub, you must:

• Be at least 18 years of age, or 13–17 with verifiable parental or guardian consent.
• Own or control the rights to the music you submit, or have a valid licence from the rights holder(s) authorising such submission.
• Have an active, verified Gospel Hub artist account in good standing.
• Be submitting music that is gospel, Christian, or faith-based in nature in compliance with our Platform Rules.

2. Licence Grant to Gospel Hub

By submitting music to Gospel Hub, you grant us a non-exclusive, worldwide, royalty-free licence to:

• Host, store, reproduce, and stream your music and associated artwork to Gospel Hub users.
• Display your artist name, biography, profile photo, and other metadata in connection with your music.
• Create audio preview clips (up to 30 seconds) of your tracks for promotional purposes within the platform. Note: "Clips" as a separate feature (short-form video content) is governed by Section 10 below.
• Feature your music in editorial playlists, curated collections, or recommendations to users.
• Promote your music through Gospel Hub's social media channels, email newsletters, and marketing materials.
• Transcode your audio files to optimised formats for streaming delivery.

Gospel Hub does not acquire ownership of your music. You retain full copyright and all other intellectual property rights in your recordings and compositions. This licence exists solely to operate and promote the Service.

3. Your Warranties and Representations

By submitting music, you warrant and represent that:

• You are the owner of the master recording and, where applicable, the underlying musical composition, or you hold all necessary licences and permissions to submit the content to Gospel Hub.
• Your music does not infringe the copyright, trademark, or any other intellectual property or proprietary right of any third party.
• You have obtained all necessary synchronisation, mechanical, and performance licences for any third-party content (samples, cover songs, etc.) included in your recordings.
• Your content does not violate any applicable law or regulation.
• You have the full legal right, power, and authority to enter into this Agreement.
• The content you submit is in compliance with Gospel Hub's Platform Rules and Terms of Use.

4. Revenue Sharing

Gospel Hub shares streaming revenue with artists as follows:

• Revenue is calculated monthly based on your proportional share of total streams in that period.
• Payments are issued on the 15th of each month for the prior month's earnings, provided your balance meets the minimum threshold of UGX 50,000 (or equivalent).
• Payments are made via Mobile Money (MTN/Airtel Uganda), bank transfer, or other methods listed in your artist dashboard.
• Gospel Hub reserves the right to adjust the revenue split with 60 days' notice. Changes will not affect earnings already accrued.
• Streams generated by fraudulent means (bots, purchased plays) are excluded from revenue calculations and may result in account termination.

5. Content Standards

All music submitted to Gospel Hub must:

• Be gospel, Christian, or faith-based in nature and suitable for our audience.
• Be of acceptable audio quality (minimum 128kbps MP3 or equivalent; 320kbps or WAV preferred).
• Include accurate metadata: correct song title, artist name, album, release year, and genre.
• Be accompanied by cover art that is at minimum 1400 × 1400 pixels, in JPEG or PNG format, and free of explicit imagery.
• Not contain misleading titles, keyword-stuffed descriptions, or content designed to game recommendations.

Gospel Hub reserves the right to reject or remove any submission that does not meet these standards, without liability to the Artist.

6. Takedowns and Content Removal

Gospel Hub may remove your content at any time without notice if:

• We receive a valid copyright infringement notice (DMCA or equivalent) regarding your content.
• Your content is found to violate our Platform Rules or this Agreement.
• We are required to remove it by law or court order.
• Continued hosting poses legal, reputational, or operational risk to Gospel Hub.

Artist-initiated takedowns: You may request removal of your music at any time by contacting artists@gospelhub.app. Removal will be processed within 14 business days. Any earnings accrued up to the date of removal will be paid in the next scheduled payment cycle.

DMCA Counter-Notices: If you believe a takedown was issued in error, you may submit a counter-notice to copyright@gospelhub.app with the required information under applicable law.

7. Prohibited Conduct

As an artist on Gospel Hub, you must not:

• Upload music to which you do not hold the rights, or misrepresent ownership.
• Artificially inflate your stream counts, follower counts, or playlist placements through bots, paid services, or coordinated schemes.
• Impersonate another artist or submit content under a name that is deceptively similar to an existing artist.
• Submit duplicate tracks or re-uploads of previously removed content without addressing the reason for removal.
• Engage in any form of fraud, including false royalty claims or misuse of the reporting system.

8. Term and Termination

This Agreement begins when you first submit music to Gospel Hub and continues until terminated by either party.

• Termination by you: You may terminate this Agreement by removing all your content and closing your artist account. Contact artists@gospelhub.app.
• Termination by Gospel Hub: We may terminate this Agreement and your access immediately for material breach of this Agreement or our Terms of Use, or with 30 days' written notice for any other reason.
• Effect of termination: Upon termination, the licence granted in Section 2 ends and we will remove your content within 14 business days. Any unpaid earnings will be settled in the next payment cycle.

9. Indemnification

You agree to indemnify, defend, and hold harmless Gospel Hub, Pearlbrains Ltd, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of any warranty or obligation in this Agreement; (b) your music or related content; (c) your violation of any third-party right, including any copyright, trademark, or other intellectual property right; or (d) any claim that your content caused damage to a third party.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GOSPEL HUB'S TOTAL LIABILITY TO YOU IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID TO YOU BY GOSPEL HUB IN THE THREE MONTHS PRECEDING THE CLAIM. GOSPEL HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Video Clips

Artists may upload short-form video clips to Gospel Hub ("Clips"). By uploading a Clip, you agree that:

• You own or hold all necessary rights to every element of your Clip, including any audio, video footage, and on-screen text.
• Your Clip must comply with our Platform Rules, including the Video Clips section. Gospel, Christian, or faith-based content only.
• By uploading a Clip, you grant Gospel Hub a non-exclusive, worldwide, royalty-free licence to host, display, and distribute the Clip within the Service and for promotional purposes.
• Gospel Hub does not share advertising revenue from Clips at this time. This may be reviewed in future updates to this Agreement.
• Gospel Hub reserves the right to remove any Clip at any time without notice if it violates this Agreement or our Platform Rules.

12. Shop & Merchandise

Eligible artists may open a Gospel Hub Shop to sell merchandise, physical goods, or event tickets to listeners.

• Eligibility: Shop access is granted to verified artists in good standing. Gospel Hub reserves the right to approve, limit, or revoke Shop access at its discretion.
• Listing Accuracy: You are solely responsible for ensuring all product listings are accurate, up to date, and comply with our Platform Rules. Misleading listings will be removed.
• Fulfilment: You are solely responsible for manufacturing, stocking, packaging, and shipping physical goods, and for delivering digital products, in a timely and professional manner.
• Revenue: Gospel Hub collects a platform commission on each Shop sale, as displayed in your artist dashboard. The remaining amount is paid to you on the same schedule as streaming royalties.
• Refunds and Disputes: You are responsible for handling buyer disputes in good faith and in accordance with our Refund Policy. Gospel Hub may issue refunds to buyers and recover the amount from your next payout where warranted.
• Prohibited Listings: Counterfeit goods, stolen property, unlicensed content, and items contrary to Gospel Hub's values are strictly prohibited and will result in Shop suspension.
• Legal Compliance: You are responsible for complying with all laws applicable to your products, including consumer protection, tax, and import/export regulations in your territory.

13. Changes to This Agreement

We may update this Agreement from time to time. We will notify you of material changes via the email address on your artist account at least 30 days before the changes take effect. If you do not agree to the updated terms, you may terminate this Agreement before the changes take effect. Continued submission of content or use of the artist platform after the effective date constitutes your acceptance of the updated Agreement.

14. Governing Law

This Agreement is governed by the laws of Uganda. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Uganda.
